1. PURPOSE AND SCOPE
1.1 This Supplier Code of Conduct (“Code”) sets out the principles and expectations that PSC Corporation Ltd. and its subsidiaries (“the Group”) requires from all its suppliers, contractors, and service providers (“Suppliers”) across its supply chain. It supports the Group’s commitment to ethical sourcing, sustainable procurement, and responsible business conduct, and is an extension of our Sustainable Procurement Policy.
1.2 Suppliers are expected to comply with this Code and ensure that their employees, subcontractors, and supply chain partners also uphold the standards herein.
2. LEGAL AND REGULATORY COMPLIANCE
2.1 Suppliers must:
(i) comply with all applicable local, national, and international laws and regulations, including those relating to labour, health and safety, environment, trade, and anti-corruption.
(ii) adhere to all industry standards, contractual obligations, and permits required to conduct their business.
3. HUMAN RIGHTS AND LABOUR STANDARDS
3.1 Suppliers shall:
(i) respect and uphold human rights as set out in the Universal Declaration of Human Rights and the UN Guiding Principles on Business and Human Rights.
(ii) prohibit all forms of forced labour, bonded labour, modern slavery, and human trafficking.
(iii) ensure employment is freely chosen and that all employees are legally entitled to work.
(iv) prohibit child labour and adhere to the minimum age requirements under applicable laws and ILO conventions.
(v) provide fair wages, benefits, and working hours in compliance with local laws.
(vi) respect workers’ rights to freedom of association, collective bargaining, and a safe and harassment-free workplace.
4. HEALTH AND SAFETY
4.1 Suppliers must:
(i) provide a safe, hygienic, and healthy working environment for all workers.
(ii) identify and mitigate occupational health and safety risks.
(iii) implement emergency preparedness procedures and provide appropriate health and safety training.
5. ENVIRONMENTAL RESPONSIBILITY
5.1 Suppliers are expected to:
(i) comply with all environmental laws and regulations.
(ii) minimize environmental impacts by adopting responsible practices in energy use, water conservation, greenhouse gas emissions, waste management, packaging, and pollution control.
(iii) use sustainable materials, processes, and technologies where feasible.
(iv) avoid the use of banned or restricted substances and hazardous materials unless legally allowed and safely handled.
(v) disclose environmental performance data upon request and work towards continuous environmental improvement.
6. ETHICAL BUSINESS PRACTICES
6.1 Suppliers must:
(i) conduct business with integrity, honesty, and transparency.
(ii) prohibit any form of bribery, corruption, extortion, or embezzlement.
(iii) avoid conflicts of interest and disclose any situation that may appear to create such a conflict.
(iv) protect confidential information, intellectual property, and data privacy.
(v) refrain from engaging in anti-competitive behaviour, including price fixing or bid rigging.
7. DIVERSITY, EQUITY AND INCLUSION
7.1 Suppliers should:
(i) promote diversity, equity, and inclusion within their workforce.
(ii) ensure equal opportunities in hiring, promotion, and treatment of workers regardless of race, gender, age, religion, nationality, disability, sexual orientation, or other protected status.
(iii) prevent all forms of harassment, discrimination, and abuse.
8. TRACEABILITY AND RESPONSIBLE SOURCING
8.1 Suppliers are encouraged to:
(i) maintain transparency and traceability in their own supply chains.
(ii) avoid sourcing materials from conflict zones or associated with human rights violations.
(iii) disclose the origin of key raw materials upon request (e.g., palm oil, cocoa, seafood, paper, etc.).
(iv) comply with sustainable certification schemes where applicable (e.g., RSPO, MSC, FSC).
9. MONITORING AND COMPLIANCE
9.1 The Group reserves the right to conduct onsite evaluations and inspections of Supplier’s facilities and call for Supplier’s risk assessment, when it is necessary to do so.
9.2 Non-compliance may result in corrective action, suspension, or termination of the business relationship.
9.3 Suppliers are encouraged to report any actual or suspected breach of this Code to the Group through our designated reporting channels.
10. COMMITMENT TO CONTINUOUS IMPROVEMENT
10.1 The Group encourages Suppliers to:
(i) continuously improve their sustainability performance.
(ii) engage in capacity building, training, and innovation to meet evolving sustainability expectations.
11. ACKNOWLEDGEMENT
11.1 Suppliers must acknowledge and agree to comply with this Code of Conduct as a condition of doing business with the Group.
11.2 The Group may update this Code from time to time and expects Suppliers to stay informed and aligned with its principles.
